These Terms of Use ("Terms") constitute a legally binding agreement between you ("User") and Villa Management System, registered under company number 0822809917 ("Company", "we", "us", "our"), governing your access to and use of the Villa Management System platform ("Platform").

By logging into, accessing, or using the Platform in any capacity - whether as a company administrator, operations manager, field staff, villa owner, external contractor, accountant, or viewer - you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately and notify us at villasystemphuket@gmail.com.

3. Platform Description

Villa Management System is a professional property operations platform designed for villa management companies operating in Phuket and surrounding regions of Thailand. The Platform provides tools for managing maintenance schedules, task ticket workflows, property records, owner reporting, staff dispatching, contractor coordination, cost tracking, approval workflows, and monthly reporting.

The Platform operates on a multi-tenant architecture, meaning multiple independent companies may use the same infrastructure. Each company's data is strictly isolated from other companies within the system.

5. Permitted Use

You are permitted to use the Platform solely for its intended business purposes. Permitted uses include:

• Creating, assigning, and managing maintenance task tickets within your authorized company scope.
• Uploading task-related photos, submitting checklist responses, and recording work completion.
• Viewing property records, service schedules, and assigned tasks within your role permissions.
• Submitting or reviewing owner approval requests for work authorizations.
• Generating and reviewing monthly property reports relevant to your role.
• Managing team members, villa assignments, and service configurations (Admin roles only).

6. Prohibited Activities

You must not, under any circumstances:

• Attempt to access data, records, or features beyond your assigned role and company scope.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform.
• Upload malicious code, viruses, or any software that could damage, disable, or impair the Platform.
• Use the Platform to transmit unsolicited communications, spam, or phishing content.
• Misrepresent your identity, role, or company affiliation while using the Platform.
• Use automated scripts, bots, or scrapers to extract data from the Platform without written permission.
• Share, resell, or sub-license access to the Platform to unauthorized third parties.
• Use the Platform for any illegal, fraudulent, or harmful purpose.
• Circumvent, disable, or interfere with security-related features of the Platform.
• Upload, store, or transmit data that infringes intellectual property rights or violates applicable law.

8. Platform Availability and Modifications

We endeavour to maintain Platform availability at all times but do not guarantee uninterrupted access. We reserve the right to:

• Perform scheduled maintenance that may temporarily suspend access.
• Modify, update, or discontinue Platform features with or without prior notice.
• Update these Terms at any time; continued use after updates constitutes acceptance.

We will make reasonable efforts to notify users of significant changes via in-app notifications or email.

9. Confidentiality

By using the Platform, you may gain access to confidential information including property access codes, owner financial data, internal maintenance notes, and personnel records. You agree to:

• Keep all confidential Platform data strictly private and not disclose it to unauthorized parties.
• Use confidential information solely in connection with your authorized duties.
• Report any suspected data breach or unauthorized disclosure to us immediately.

This confidentiality obligation survives the termination of your access to the Platform.

10. Intellectual Property

The Platform, including its design, codebase, user interface, logos, text, and documentation, is the exclusive intellectual property of Villa Management System. All rights not expressly granted under these Terms are reserved. You may not reproduce, distribute, or create derivative works from any part of the Platform without prior written consent.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Villa Management System shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
• Loss of data, revenue, or business opportunities resulting from Platform unavailability or errors.
• Damages resulting from unauthorized access to your account due to your failure to secure your credentials.
• Actions taken by other users of the Platform within your organization.

Our total liability to you for any claim arising from these Terms shall not exceed the total fees paid by your organization for Platform access in the preceding three (3) months.

12. Indemnification

You agree to indemnify, defend, and hold harmless Villa Management System and its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your violation of these Terms, misuse of the Platform, or infringement of any third-party rights.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in Phuket, Thailand.

Before initiating legal proceedings, both parties agree to attempt to resolve disputes amicably through direct negotiation for a period of at least 30 days.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Villa Management System with respect to your use of the Platform and supersede all prior agreements, representations, and understandings.
